In addition, our attorneys have handled numerous cases involving the purchase and operation of going businesses, and the financing of such transactions, including: acquisition and asset-based financing of commercial ventures and retail operations; employment matters; drafting of purchase orders and general contracts; collection of disputed accounts; and other legal matters involved in the day-to-day operation of a going concern.
Our attorneys also handle personal and commercial loan transactions of all sizes, and are well-versed in the negotiation and drafting of loan documentation. We have represented both borrowers and lenders with respect to real estate mortgage-based financing, matters involving the Uniform Commercial Code and various rights and interests in commercial property, equipment, inventory and other goods, construction loans and other business loan transactions.

$70 million transaction involving the sale of over 140 regional businesses to a national concern, including tax planning, deal structure and creation of financing corporation to factor remaining accounts receivable.
$10 million acquisition of steel forging plant by senior management and hourly employees, including ESOP financing and administration, private placement offering to raise initial equity, management, and asset purchase agreement.
Large and small business acquisitions including: sale of regional commercial mortgage brokerage firm to a national concern (so-called "roll up" transaction); purchase of multi-state commercial printing company using both private equity and ESOP financing to acquire business assets and real estate; acquisition of franchise businesses including gas stations, donut shops and dance studios.
Representation of small and medium businesses on a day-to-day basis. Representative clients include: construction contractors, roofing companies, home builders and building supply companies; automobile dealers, repair shops and trucking companies; oil & gas operators; cemetery companies; wholesale and retail merchandisers.
